Toto ukl\u00e1d\u00e1n\u00ed informac\u00ed o whistleblowingu znamen\u00e1, \u017ee podle na\u0159\u00edzen\u00ed o ochran\u011b osobn\u00edch \u00fadaj\u016f (2016\/679) (d\u00e1le jen &#8222;GDPR&#8220;) jsme pova\u017eov\u00e1ni za zpracovatele osobn\u00edch \u00fadaj\u016f jm\u00e9nem Z\u00e1kazn\u00edka, a tud\u00ed\u017e pro n\u011bj p\u0159edstavujeme zpracovatele v roli spr\u00e1vce. Pojmy v t\u00e9to smlouv\u011b o zpracov\u00e1n\u00ed se vykl\u00e1daj\u00ed v souladu s GDPR, jako\u017e i s platnou m\u00edstn\u00ed \u00fapravou a na\u0159\u00edzen\u00edm t\u00fdkaj\u00edc\u00edm se ochrany osobn\u00edch \u00fadaj\u016f (souhrnn\u011b <strong>&#8222;pravidla ochrany osobn\u00edch \u00fadaj\u016f&#8220;<\/strong>). Pojmy ve Smlouv\u011b o zpracov\u00e1n\u00ed maj\u00ed v\u00fdznam, kter\u00fd se prim\u00e1rn\u011b objevuje v Pravidlech ochrany osobn\u00edch \u00fadaj\u016f a jinak ve Smlouv\u011b, pokud z okolnost\u00ed jednozna\u010dn\u011b nevypl\u00fdv\u00e1 n\u011bco jin\u00e9ho.<\/em><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-54bf012 elementor-widget elementor-widget-text-editor\" data-id=\"54bf012\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<h5>1.\u00a0 \u00a0 \u00a0Odpov\u011bdnost a pou\u010den\u00ed<\/h5><p>1.1 Typ \u00fadaj\u016f a kategorie subjekt\u016f \u00fadaj\u016f, kter\u00e9 Zpracovatel zpracov\u00e1v\u00e1 podle t\u00e9to Zpracovatelsk\u00e9 smlouvy v souvislosti s poskytov\u00e1n\u00edm slu\u017eby Whistlelink Zpracovatelem, a \u00fa\u010del, povaha, doba trv\u00e1n\u00ed a p\u0159edm\u011bt zpracov\u00e1n\u00ed jsou pops\u00e1ny v odd\u00edle 5. Z\u00e1kazn\u00edk zajist\u00ed, aby Zpracovatel nezpracov\u00e1val dal\u0161\u00ed kategorie \u00fadaj\u016f, ne\u017e kter\u00e9 jsou uvedeny v odd\u00edle 5.<\/p><p>1.2 Z\u00e1kazn\u00edk si je v\u011bdom toho, \u017ee Whistlelink je platforma, kter\u00e1 je distribuov\u00e1na velk\u00e9mu po\u010dtu z\u00e1kazn\u00edk\u016f, a \u017ee se proto nebudeme moci nutn\u011b \u0159\u00eddit takov\u00fdmi pokyny, kter\u00e9 nejsou p\u0159\u00edm\u00fdm d\u016fsledkem pot\u0159eby Z\u00e1kazn\u00edka dodr\u017eovat pravidla ochrany \u00fadaj\u016f. Pokud n\u00e1m Z\u00e1kazn\u00edk d\u00e1 takov\u00e9 pokyny, kter\u00fdmi se nem\u00e1me mo\u017enost \u0159\u00eddit, zavazuje se Z\u00e1kazn\u00edk, \u017ee p\u0159estane zad\u00e1vat a exportovat v\u0161echny takov\u00e9 \u00fadaje Z\u00e1kazn\u00edka, kter\u00e9 jsou aktu\u00e1ln\u00edmi pokyny dot\u010deny. V\u00fd\u0161e uveden\u00e9 nep\u0159edstavuje poru\u0161en\u00ed smlouvy nebo dostupnosti Whistlelink.<\/p><p>1.3 Z\u00e1kazn\u00edk je spr\u00e1vcem v\u0161ech osobn\u00edch \u00fadaj\u016f, kter\u00e9 Zpracovatel zpracov\u00e1v\u00e1 jm\u00e9nem Z\u00e1kazn\u00edka na z\u00e1klad\u011b Zpracovatelsk\u00e9 smlouvy. Z\u00e1kazn\u00edk je tedy odpov\u011bdn\u00fd za dodr\u017eov\u00e1n\u00ed platn\u00fdch pravidel ochrany osobn\u00edch \u00fadaj\u016f a zavazuje se dodr\u017eovat pokyny pro pou\u017e\u00edv\u00e1n\u00ed slu\u017eby Whistlelink, kter\u00e9 jsou aktu\u00e1ln\u011b platn\u00e9, a pr\u00e1vn\u00ed p\u0159edpisy, kter\u00e9 se vztahuj\u00ed na nakl\u00e1d\u00e1n\u00ed s oznamovateli.<\/p><p>1.4 Uzav\u0159en\u00edm t\u00e9to Smlouvy Z\u00e1kazn\u00edk souhlas\u00ed s bezpe\u010dnostn\u00edmi opat\u0159en\u00edmi stanoven\u00fdmi v aktu\u00e1ln\u00edch <a href=\"https:\/\/www.whistlelink.com\/cs\/measures\/\">organiza\u010dn\u00edch a technick\u00fdch opat\u0159en\u00edch Whistlelinku<\/a> jako p\u0159im\u011b\u0159en\u00fdmi pro zam\u00fd\u0161len\u00e9 pou\u017eit\u00ed Whistlelinku Z\u00e1kazn\u00edkem.<\/p><h5>2.\u00a0 \u00a0 \u00a0Z\u00e1vazek zpracovatele<\/h5><p>2.1 Zpracovatel se zavazuje:<\/p><ol><li>m\u00edt odpov\u00eddaj\u00edc\u00ed technick\u00e9 a organiza\u010dn\u00ed zabezpe\u010den\u00ed a p\u0159ijmout bezpe\u010dnostn\u00ed opat\u0159en\u00ed stanoven\u00e1 v aktu\u00e1ln\u00edch <a href=\"https:\/\/www.whistlelink.com\/cs\/measures\/\">organiza\u010dn\u00edch a technick\u00fdch opat\u0159en\u00edch Whistlelink<\/a> es a v \u010dl\u00e1nku 32 GDPR k ochran\u011b \u00fadaj\u016f zpracov\u00e1van\u00fdch podle t\u00e9to smlouvy, v\u010detn\u011b odpov\u00eddaj\u00edc\u00ed povinnosti ml\u010denlivosti ulo\u017een\u00e9 osob\u00e1m u Zpracovatele s opr\u00e1vn\u011bn\u00edm tyto \u00fadaje zpracov\u00e1vat;<\/li><li>pom\u00e1h\u00e1 Z\u00e1kazn\u00edkovi plnit bezpe\u010dnostn\u00ed po\u017eadavky stanoven\u00e9 v \u010dl\u00e1nc\u00edch 32-36 GDPR (jako jsou technick\u00e1 a organiza\u010dn\u00ed opat\u0159en\u00ed, oznamov\u00e1n\u00ed a informov\u00e1n\u00ed Z\u00e1kazn\u00edka bez zbyte\u010dn\u00e9ho odkladu p\u0159i poru\u0161en\u00ed zabezpe\u010den\u00ed osobn\u00edch \u00fadaj\u016f, posouzen\u00ed vlivu a p\u0159edchoz\u00ed konzultace) a jsou pln\u011bny povinnosti Z\u00e1kazn\u00edka t\u00fdkaj\u00edc\u00ed se individu\u00e1ln\u00edch pr\u00e1v v kapitole III GDPR (jako je pr\u00e1vo na informace, p\u0159\u00edstup, opravu, v\u00fdmaz, omezen\u00ed zpracov\u00e1n\u00ed, p\u0159enositelnost \u00fadaj\u016f, n\u00e1mitka proti automatizovan\u00e9mu rozhodov\u00e1n\u00ed);<\/li><li>poskytnut\u00ed pr\u00e1va Z\u00e1kazn\u00edkovi z\u00edskat od Zpracovatele informace za \u00fa\u010delem kontroly a ov\u011b\u0159en\u00ed opat\u0159en\u00ed p\u0159ijat\u00fdch Zpracovatelem v souladu s touto smlouvou. Zpracovatel usnad\u0148uje a p\u0159isp\u00edv\u00e1 k \u0161et\u0159en\u00edm (v\u010detn\u011b inspekc\u00ed) prov\u00e1d\u011bn\u00fdm Z\u00e1kazn\u00edkem nebo auditorem, kter\u00fd takov\u00e1 \u0161et\u0159en\u00ed prov\u00e1d\u00ed jm\u00e9nem Z\u00e1kazn\u00edka. Zpracovatel se d\u00e1le obr\u00e1t\u00ed na Z\u00e1kazn\u00edka, jeho\u017e osobn\u00ed \u00fadaje zpracov\u00e1v\u00e1, dozorov\u00fd \u00fa\u0159ad nebo jinou t\u0159et\u00ed stranu, kter\u00e1 si od Zpracovatele vy\u017e\u00e1d\u00e1 informace t\u00fdkaj\u00edc\u00ed se zpracov\u00e1n\u00ed osobn\u00edch \u00fadaj\u016f. Zpracovatel neprodlen\u011b informuje Z\u00e1kazn\u00edka o v\u0161ech kontaktech ze strany dozorov\u00e9ho \u00fa\u0159adu, kter\u00e9 se t\u00fdkaj\u00ed nebo mohou m\u00edt v\u00fdznam pro zpracov\u00e1n\u00ed osobn\u00edch \u00fadaj\u016f,<\/li><li>v z\u00e1vislosti na tom, co si Z\u00e1kazn\u00edk zvol\u00ed; vymaz\u00e1n\u00ed, anonymizaci nebo vr\u00e1cen\u00ed v\u0161ech osobn\u00edch \u00fadaj\u016f Z\u00e1kazn\u00edkovi po ukon\u010den\u00ed Smlouvy, bez ohledu na d\u016fvod, v\u010detn\u011b vymaz\u00e1n\u00ed v\u0161ech kopi\u00ed, kter\u00e9 podle z\u00e1kona o ochran\u011b osobn\u00edch \u00fadaj\u016f nesm\u00ed b\u00fdt ulo\u017eeny,<\/li><li>jinak poskytnout Z\u00e1kazn\u00edkovi p\u0159\u00edstup k takov\u00fdm informac\u00edm, kter\u00e9 jsou nezbytn\u00e9 k tomu, aby Z\u00e1kazn\u00edk mohl plnit sv\u00e9 povinnosti spr\u00e1vce v\u016f\u010di dozorov\u00e9mu \u00fa\u0159adu a\/nebo fyzick\u00fdm osob\u00e1m,<\/li><li>nep\u0159ed\u00e1v\u00e1n\u00ed \u00fadaj\u016f do t\u0159et\u00edch zem\u00ed nebo mezin\u00e1rodn\u00ed organizaci, pokud to nevy\u017eaduje z\u00e1kon o ochran\u011b osobn\u00edch \u00fadaj\u016f, p\u0159i\u010dem\u017e Zpracovatel o tom neprodlen\u011b informuje Z\u00e1kazn\u00edka, pokud to nen\u00ed zak\u00e1z\u00e1no.<\/li><\/ol><p>2.2 Zpracovatel se d\u00e1le zavazuje zpracov\u00e1vat \u00fadaje v\u017edy v souladu s pravidly ochrany osobn\u00edch \u00fadaj\u016f. To zahrnuje mimo jin\u00e9 veden\u00ed registru v\u0161ech kategori\u00ed prov\u00e1d\u011bn\u00fdch zpracov\u00e1n\u00ed, poskytnut\u00ed v\u00fdpisu z registru o proveden\u00e9m zpracov\u00e1n\u00ed na \u017e\u00e1dost Objednatele a neprodlen\u00e9 informov\u00e1n\u00ed Objednatele, pokud m\u00e1 Zpracovatel podez\u0159en\u00ed, \u017ee existuje riziko, \u017ee jsou poru\u0161ov\u00e1ny svobody a pr\u00e1va jednotlivce.<\/p><h5>3.\u00a0 \u00a0 \u00a0D\u00edl\u010d\u00ed zpracovatel\u00e9 a p\u0159ed\u00e1v\u00e1n\u00ed do t\u0159et\u00edch zem\u00ed<\/h5><p>3.1 Za p\u0159edpokladu, \u017ee Zpracovatel (i) informuje Spr\u00e1vce o sv\u00fdch pl\u00e1nech v p\u0159im\u011b\u0159en\u00e9m \u010dasov\u00e9m p\u0159edstihu, p\u0159i\u010dem\u017e Spr\u00e1vce m\u00e1 pr\u00e1vo vzn\u00e9st n\u00e1mitku, m\u00e1 Zpracovatel obecn\u00e9 opr\u00e1vn\u011bn\u00ed naj\u00edmat d\u00edl\u010d\u00ed zpracovatele pro zpracov\u00e1n\u00ed \u00fadaj\u016f jm\u00e9nem Z\u00e1kazn\u00edka, za kter\u00e9 je Zpracovatel Z\u00e1kazn\u00edkovi pln\u011b odpov\u011bdn\u00fd.<\/p><p>3.2 Za p\u0159edpokladu, \u017ee Zpracovatel (i) informuje Spr\u00e1vce o sv\u00fdch pl\u00e1nech alespo\u0148 30 dn\u00ed p\u0159edem, p\u0159i\u010dem\u017e Spr\u00e1vce m\u00e1 pr\u00e1vo vzn\u00e9st n\u00e1mitku, a (ii) uplat\u0148uje p\u0159im\u011b\u0159en\u00e9 a v souladu s Pravidly ochrany osobn\u00edch \u00fadaj\u016f schv\u00e1len\u00e9 bezpe\u010dnostn\u00ed mechanismy, m\u016f\u017ee Zpracovatel p\u0159ed\u00e1vat osobn\u00ed \u00fadaje mimo EU\/EHP.<\/p><p>3.3 Uzav\u0159en\u00edm t\u00e9to smlouvy Z\u00e1kazn\u00edk schvaluje d\u00edl\u010d\u00ed zpracovatele uveden\u00e9 v odd\u00edle 5. V dob\u011b uzav\u0159en\u00ed t\u00e9to Smlouvy Zpracovatel nep\u0159ed\u00e1v\u00e1 Osobn\u00ed \u00fadaje do \u017e\u00e1dn\u00e9 t\u0159et\u00ed zem\u011b.<\/p><h5>4.\u00a0 \u00a0 \u00a0R\u016fzn\u00e9<\/h5><p>4.1 Ustanoven\u00ed Smlouvy se vztahuj\u00ed i na tuto Zpracovatelskou smlouvu. V p\u0159\u00edpad\u011b rozporu mezi Smlouvou a touto Zpracovatelskou smlouvou m\u00e1 p\u0159ednost Zpracovatelsk\u00e1 smlouva.<\/p><h5>5.\u00a0 \u00a0 \u00a0Pokyny<\/h5><p>5.1 Tento odd\u00edl 5 p\u0159edstavuje po\u010d\u00e1te\u010dn\u00ed pokyny Z\u00e1kazn\u00edka Zpracovateli a m\u016f\u017ee b\u00fdt, s v\u00fdhradou odd\u00edlu 1.2, pozd\u011bji dopln\u011bn.<\/p><p>5.2 <em>Kategorie subjekt\u016f \u00fadaj\u016f<\/em>. Ka\u017ed\u00fd, kdo m\u016f\u017ee b\u00fdt uveden v ozn\u00e1men\u00ed v syst\u00e9mu Whistlelink, v\u010detn\u011b oznamovatele, pokud si oznamovatel nep\u0159eje z\u016fstat v anonymit\u011b, a nahl\u00e1\u0161en\u00e9 osoby.<\/p><p>5.3 <em>\u00da\u010del, povaha a p\u0159edm\u011bt zpracov\u00e1n\u00ed a kategorie osobn\u00edch \u00fadaj\u016f<\/em>. S ohledem na hlavn\u00ed funkci a \u00fa\u010del Zpracovatele, kter\u00fdm je poskytov\u00e1n\u00ed slu\u017eby Whistlelink, a t\u00edm i zpracov\u00e1n\u00ed konkr\u00e9tn\u011b pro uchov\u00e1v\u00e1n\u00ed \u00fadaj\u016f Z\u00e1kazn\u00edka, kter\u00e9 mohou obsahovat osobn\u00ed \u00fadaje, zahrnuj\u00ed kategorie osobn\u00edch \u00fadaj\u016f v\u0161echny kategorie \u00fadaj\u016f, kter\u00e9 se mohou vyskytnout v souvislosti s whistleblowingem, v\u010detn\u011b citliv\u00fdch \u00fadaj\u016f a \u00fadajn\u00fdch poru\u0161en\u00ed pr\u00e1vn\u00edch p\u0159edpis\u016f.<\/p><p>5.4 <em>Ukl\u00e1d\u00e1n\u00ed dat<\/em>. Zpracovatel uchov\u00e1v\u00e1 \u00fadaje o p\u0159\u00edpadech v\u0161ech zpr\u00e1v po dobu uchov\u00e1v\u00e1n\u00ed nastavenou klientem v syst\u00e9mu.<\/p><p>5.5 <em>D\u00edl\u010d\u00ed zpracovatel\u00e9<\/em>. Od uzav\u0159en\u00ed t\u00e9to smlouvy m\u00e1 Zpracovatel n\u00e1sleduj\u00edc\u00ed d\u00edl\u010d\u00ed zpracovatele, jejich\u017e po\u010det v\u0161ak m\u016f\u017ee b\u00fdt v souladu s bodem 3. zm\u011bn\u011bn:<\/p><ul><li>D\u00edl\u010d\u00ed zpracovatel\u00e9: Swerolab AB (\u0160v\u00e9dsko), SMSAPI (Polsko), Brevo (Francie), OPSWAT (N\u011bmecko), Glesys (\u0160v\u00e9dsko), T-Systems International (N\u011bmecko), Friendly Captcha (N\u011bmecko), DeepL (N\u011bmecko), Mistral AI (Francie).<\/li><\/ul><p>5.6 <em>P\u0159enosy ze t\u0159et\u00edch zem\u00ed<\/em>.
